These terms govern your use of the States Agent website and services. By creating an account or placing an order, you agree to them and to the Service Agreement and Privacy Policy.
States Agent provides U.S. registered-agent representation, business formation, and compliance filing services. Registered-agent service and state filings are carried out on our behalf by a third-party fulfilment provider whose address is used as the registered-agent and registered-office address of record. You contract with us and deal only with us; we coordinate fulfilment behind the scenes, and all support is provided by us.
You must provide accurate information and keep your login credentials secure. You are responsible for activity under your account and must be able to enter into a binding contract to use the services.
State law (including Wyoming Statute 17-28-107) requires that each entity we represent designate an authorized natural person, with a verified physical address and phone number, as the communications contact for that entity. You may designate yourself. You must provide this information and keep it accurate and current, and respond to any request for it promptly. If a filing or the state requires it and you do not provide or update it in time, the state may impose penalties on the entity, and you are responsible for any resulting fines or costs.
The registered-agent address may be used only in your official capacity as an officer, member, or manager of the entity we represent, and not for personal use. You may not file a change-of-address or mail-forwarding request with the U.S. Postal Service using this address; if you do, you must stop within three business days of our notice, and we may be required to report the misuse. The address cannot be used to verify online-seller or marketplace accounts (for example Amazon, Google, or Walmart storefront verification), which our provider does not and cannot verify.
Service of process and state correspondence are scanned to your dashboard, typically within one business day of receipt, and you are notified by email. Ordinary (non-official) mail is included up to three scanned items per entity per service year; beyond that, a small per-item fee applies to view or download additional ordinary mail. Junk mail is not uploaded. Packages are not accepted and may be refused or returned; we are not a bailee and hold nothing beyond a short courtesy period. Physical copies of an uploaded document may be requested for a limited period after receipt.
Prices are shown before you commit and are charged in full at checkout, including any state filing fees passed through at cost. Payments are processed by our payment provider on a hosted checkout; we never receive or store your card details. State fees are set by each state and may change. You are responsible for any sales, use, or similar taxes that apply to the services.
Filing timelines depend on the relevant state agency and are not guaranteed. Filings are prepared from the information you provide; you are responsible for its accuracy, and errors caused by inaccurate information you supply are your responsibility.
Recurring services renew automatically each year at the price you signed up at, unless you disable auto-renewal or cancel from your dashboard, or give written notice of non-renewal, before the renewal date. Cancelling stops future renewals and does not refund fees already earned for work performed. Cancelling does not by itself remove the registered agent from the state record: you must appoint a replacement registered agent as the state requires, or the entity may fall out of good standing, lose licenses or approvals, or be administratively dissolved. After cancellation, we stop forwarding mail and service of process, and anything that arrives afterward may be held in a locked view until any amount due is paid.
You may not use the services for unlawful purposes, to misrepresent ownership or control of an entity, to evade legal obligations, or to misuse the registered-agent address. We may decline or discontinue service where we reasonably believe it is being misused.
You will indemnify and hold States Agent and our fulfilment and payment providers harmless from any claim, loss, fine, or cost (including reasonable legal fees) arising from your breach of these terms, your misuse of the registered-agent address, or inaccurate or incomplete information you provide.
To the extent permitted by law, you waive statutory-damages and tort claims against our third-party fulfilment provider arising from the services, and you agree that your relationship and any claim is with States Agent, not with our providers.
The services are provided on an "as is" basis and do not create a fiduciary relationship. To the maximum extent permitted by law, our total liability for any claim will not exceed the fees you paid us for the service giving rise to the claim in the twelve months before it arose. We are not liable for special, indirect, incidental, or consequential losses, whether or not foreseeable.
We may update these terms; material changes will be posted here with a new effective date. Continued use after a change means you accept it.
These terms are governed by the laws of the State of Idaho, and the courts of Kootenai County, Idaho, without regard to conflict-of-laws rules.
